OIF bylaws text changes for gender neutrality

Hi all, In the March OIF board meeting, the Diversity & Inclusion working group proposed some minor changes to the bylaws to use more gender-neutral language. We've completed legal review on the changes, so we're ready for broader community review and feedback now, and then will plan for the OIF board to vote on the changes in the next board meeting in December. I've attached a PDF with a redline markup of the changes, all comments are welcome. The changes are relatively simple: a) "Chairman" changes to "Chair" throughout the document. b) Consistently uses they/their as the gender-neutral 3rd person singular pronoun. This replaces all instances of he/his, and all cases where we previously had incomplete gender neutrality with "his or hers", "he or she", and other variations that explicitly listed two genders. While this use of they/their as 3rd person singular isn't universal, it is very common in modern usage. And, the bylaws already have an explicit statement that any pronouns should be read as singular/plural as needed: "6.7 _Pronouns._ All pronouns used in these Bylaws shall be deemed to refer to the masculine, feminine or neuter, singular or plural, as the identity of the person or persons may require." The updates change a few words in protected sections of the bylaws, so after the board vote, we'll need independent votes from the OpenStack Technical Committee and Platinum Members, and will include these changes in the annual Gold Member and Individual Member votes (for Gold and Individual Directors). So, it'll probably be mid- to late-January before the changes are fully reviewed and approved. Thanks, Allison

OpenInfra Foundation Board Meeting, June 29th 9-11 PM Pacific (June 30th, 0400-0600 UTC)

Foundation members, The next OpenInfra Foundation board meeting is on June 29th, running from 9 PM to 11 PM US Pacific time (June 30th from 0400 to 0600 UTC). This meeting is scheduled to be a more friendly time zone for the Asia/Pacific members. Please be mindful of the date difference between the US Pacific and UTC time zones. During this meeting we anticipate some housekeeping activities, a vote on a new associate member class, Interop Working Group proposed process changes, a request from the OpenStack Technical Committee, updates from the Foundation staff with regards to the current status in 2021, the present forecast into 2022, and an update on the current status of the Chinese Open Infrastructure market. Associate Membership class

Dear Board members, As previously discussed, during the board meeting next week I will propose the creation of a new class of members called "Associate members". Here is a short description of that new class: ======================================================================= Associate member class The Associate member class is an Open Infrastructure Foundation (“the Foundation”) member class that does not have a vote for a member of the Board of Directors to represent it, or a vote on any other matter. It was created on XXX by a resolution of the Foundation Board of Directors, under the provision of section 2.1 of the Foundation bylaws. The Associate class is open to two types of organizations: non-profit organizations sustaining open infrastructure projects, and notable academic and public research institutions making extensive use of open infrastructure projects. The Executive Director of the Foundation has authority to admit and terminate members of the Associate Class. The Associate class does not require any membership fee. Members of the Associate class support the Foundation mission by associating their organization name with it and allowing the Foundation to promote that association. For non-profit organizations sustaining open infrastructure projects, the Foundation in return may reciprocate through membership in equivalent affiliate membership programs, engage in co-marketing opportunities or sharing events. For notable academic and public research institutions making extensive use of open infrastructure projects, they benefit in return from the Foundation support of their activities like any other Foundation member, through programs like job posting promotion or help in navigating our open source communities. ======================================================================= Such class creation just requires a resolution from the Board, similar to the one passed during the January Board meeting, which you can find at: https://wiki.openstack.org/wiki/Governance/Foundation/26Jan2021BoardMinutes Let me know if you still have concerns about this new class. Interop WG update for the board

Adding my 2 cents here as well and I too can only find positives to this. Hello everyone, During the informal call on Monday I introduced the idea of creating a new Foundation non-voting membership tier called "Associate members". Rationale: The Open Infrastructure Foundation mission is to develop, support, protect, and promote open infrastructure software projects (open source solutions to build infrastructure for further innovation). Integration between those projects has been identified as a key issue hindering further adoption of those solutions. While the Foundation directly supports and promotes a number of projects, its mission goes beyond the projects it directly hosts. We currently don’t have any program allowing us to formally engage with non-profit organizations sustaining open infrastructure projects, and help us better collaborate around events, promotion, and cross-community discussions. We also have a lot of connections with the academic world (through OpenInfra Labs and our education initiatives) and a lot of open infrastructure users in the public research space.
