[Foundation Board] OpenStack Board Diversity Committee Charter

Thanks for getting together to draft this proposed charter.  

Questions on some of the wording.  
The second paragraph encompasses a broad spectrum of authority.  There are many programs and policies in place to promote Diversity, including the Foundation Bylaws, individual member code of conduct,  the Membership classes, Member agreements, Summit code of conduct,  the meritocratic structure of the projects and Technical Committee.  In addition to programs such as the mentoring and travel support programs.  Is this charter asserting control over all these and making them subject to change by the committee?

Second question from the first paragraph.  "This committee will...create programs..." and "The programs defined by this committee...".  Is the charter asserting that the committee defines, creates and asserts programs without Board approval or TC approval?
