Under the bylaws, the remaining Individual Directors have the right to appoint another individual to serve out an empty term. Section 4.2 of the bylaws provides: "In the case of the death, resignation or removal of any Individual Director (except for removal under Section 4.17), the vacancy may be filled by a majority vote of the remaining Individual Directors.” This morning during a phone meeting of the Individual Directors, they voted to select Edgar Magana to fill the open seat.
